When are Companies Removed from the Companies Register?

The directors of a company or LLP may strike-off a company themselves to wind it down to move on to another business. This can be done by simply filling in a form with Companies House. However voluntary application to remove a company should only be considered in certain circumstances.

In many cases, companies are struck-off not by the directors but by Companies House for administrative reasons due to companies not fulfilling their obligations to file accounts or annual returns.

Restoring a Dissolved Company

If your company has been dissolved, you can apply to Companies House to have it restored to the register. This is a process known as administrative restoration and only applies if you were a director or shareholder in the company, if the limited company was still trading at the time it was dissolved and if it was taken off the register within the last six years.

What is the Effect of Restoration?

The effect of restoration is that the company will be ‘revived’ as if it had never been struck-off and all its property will be returned to it by the Crown.
