Do I Need a Solicitor to Sell My Business?

Selling a business is no easy task, there are many things to consider when preparing for a sale, such as how, when and to who you are going to sell to. There may be certain conditions you want to include in the sale and contracts or leases that need assigning to a new owner.

To ensure that your position is protected when selling a business and all parties are clear on their obligations, it’s strongly advised that a sale of business contract should be professionally drafted by a solicitor.

Selling a business is not simply a case of finding somebody who is interested, taking their money and handing over the keys. The process involves a lot of due diligence and is an established process which requires careful attention. There are often areas which can be overlooked but a solicitor will be able to discuss these with you.

Do I Need a Solicitor?

Selling a business has a lot of requirements associated with it. If you fail to instruct a solicitor and try to go ahead without any legal advice, you may find that you end up making mistakes which can cost you financially. Often large sums of money will be changing hands and therefore it’s wise to protect your position during such transactions.

Once a deal is agreed in principle, a solicitor's job is to draw up the definitive sale and purchase contract. It is vital that you work with a solicitor who specialises in this area as choosing the wrong solicitor can cost you time, money and untold amounts of stress.

Due Diligence

Due diligence must be done on a business and its assets. Often a buyer will require a significant amount of information about the company which is then presented professionally. This is a large task and it may affect the price the buyer is willing to pay for the company. You may also want to consider a Non-disclosure Agreement (NDA) to cover the exchange of information.

Ultimately, the parties to the agreement are the ones who must make the decision as to what level of commercial risk they are prepared to accept and whether they want to instruct a solicitor. A solicitor can help protect your position and maximise your ability to negotiate a good deal.
